The formula for determining the conversion ratio is the original issuance price of the preferred stock divided by the conversion price– which is the price that was originally paid.

Example:

If a startup raises $2 million in a Series A round at an $8 million pre-money valuation, and the VC receives 2 million shares of preferred stock at $1 per share; the conversion ratio is 1 (1 divided by 1).
